March 24, 2025 – Gold Road Resources has announced the receipt and subsequent rejection of a non-binding indicative offer (NBIO) from Gold Fields Limited.
The offer, received after market close on March 7, 2025, proposed the acquisition of 100% of Gold Road’s shares through a scheme of arrangement for A$2.27 cash per share plus a variable cash amount based on Gold Road’s interest in De Grey Mining Ltd.
After careful consideration, the Gold Road Board unanimously decided that the offer significantly undervalued the company and was highly opportunistic. The timing of the offer coincided with a lower production quarter due to maintenance issues, which the Board believes was an opportunistic move by Gold Fields.
Additionally, the offer did not account for the potential underground expansion of the Gruyere mine, which is currently undergoing an 18-month drilling program to confirm its value.
In response to the NBIO, Gold Road proposed an alternative to acquire Gold Fields’ interest in the Gruyere Joint Venture, which was rejected by Gold Fields.
